Welcome to Stackwise (https://stackwise.me), an AI-powered health tool and product of Innerview Insights Company, a Delaware C Corporation (the "Publisher"). Stackwise is designed to help users create and manage collections of products, supplements, medications, therapies, and other health-related practices ("Stacks"). These Terms apply to all users of the Services, including visitors who access public content without registering. Please read these Terms of Service ("Terms") carefully before using Stackwise (the "App"), our website, or any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Definitions

  • App: The Stackwise application and all its pages and screens.
  • User: Any individual who accesses or uses the Services, whether registered or unregistered. This includes both account holders and visitors.
  • Visitor: Any individual who accesses public portions of the Services without registering or logging in. For the purposes of these Terms, "User" includes both registered users and visitors.
  • Stack: A collection of Products, Ingredients, Therapies, Practices, Conditions, and Concepts created by a User for health, longevity, or fitness purposes.
  • Product: Any item, supplement, medication, or therapy referenced in the App, which may or may not be composed of ingredients or components.
  • Ingredient: Any substance or compound that may be listed as part of a Product or may exist independently to help users learn about individual compounds.
  • Therapy: Any non-product health intervention, such as exercises, breathing techniques, or treatments (e.g., HBOT).
  • Condition: A post or entry describing a health condition, ailment, disease, or diagnosis (e.g., Alzheimer's, rheumatoid arthritis).
  • Concept: A post or entry describing a medical term, scientific process, or health-related concept (e.g., hormesis, inflammation).
  • Bundle: A collection of Stacks related to a specific health condition or goal.
  • Risk Level: A subjective rating provided by Stackwise regarding the potential health risks of a product, ingredient, or therapy, based on available information and expert judgment.
  • Database: The database of Products, Ingredients, Therapies, Conditions, Concepts, and related information referenced in the App.
  • Publisher: Innerview Insights Company, a Delaware C Corporation (the legal entity responsible for publishing and maintaining Stackwise).

2. Account Creation and Eligibility

  • To use certain features of Stackwise, you may be required to create an account. You must be at least 18 years old (or the age of majority in your jurisdiction) and provide accurate, complete information during registration. You are responsible for maintaining the accuracy of your account information.

3. Account Security and Responsibility

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Stackwise immediately of any unauthorized use of your account.

4. Account Suspension and Termination

  • Stackwise reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, illegal activity, or abuse of the Services.
  • Upon termination, your right to use the Services will immediately cease, and the Publisher (Innerview Insights Company, a Delaware C Corporation) may delete your account and any associated data.

5. User-Initiated Deletion

  • You may delete your account at any time by contacting support. Upon deletion, your personal data will be handled in accordance with our Privacy Policy. Please note that certain data may be retained for a limited period as required by law or for legitimate business purposes, after which it will be securely deleted or anonymized.

6. Purpose and Mission

Stackwise aims to empower users to make informed decisions about their health by providing information about products, ingredients, therapies, and practices. Our mission is to:

  • Increase awareness of the composition and potential effects of health-related products and practices.
  • Help users make better choices for their health and longevity.
  • Encourage transparency and quality in health-related products and services.

7. Independence and Transparency

  • Stackwise is an independent platform. No brand, manufacturer, or third party pays or influences Stackwise to appear in recommendations, rankings, or content. Stackwise does not display advertising or sell user data. The platform is funded by subscriptions.

8. Restrictions on Use and Publication

  • Users agree not to:
    • Publish illegal, defamatory, abusive, threatening, harassing, or otherwise inappropriate content.
    • Promote hatred, racism, discrimination, pornography, violence, or any violation of human dignity.
    • Interfere with the proper functioning or security of Stackwise.
    • Use Stackwise for spamming, scraping, or harvesting data.
    • Infringe on the rights of other users or third parties.
    • Add or modify product, ingredient, or therapy information erroneously or fraudulently.
  • Violation of these restrictions may result in account suspension or deletion. Stackwise reserves the right to moderate, remove, or edit any user content at its sole discretion, and to ban users for repeated or egregious violations.

9. How Stackwise Works

  • Stackwise provides a platform for users to create, manage, and share Stacks composed of Products, Ingredients, Therapies, Conditions, and Concepts.
  • Information in the App is sourced from public databases, product labels, user contributions, and third-party sources. While we strive for accuracy, we do not guarantee the completeness or reliability of any information.
  • Users may contribute information about Products, Ingredients, Therapies, Conditions, Concepts, and other health-related information. By contributing, you grant Stackwise a non-exclusive, royalty-free license to use, display, and share this information.

10. No Medical Advice; Informational Purposes Only

  • Stackwise is not a medical service and does not provide medical advice, diagnosis, or treatment.
  • Any information, suggestions, or guidance provided by Stackwise, including information about Conditions and Concepts or those generated by AI or large language models (LLMs), is for informational purposes only and is not intended as a substitute for professional medical advice, diagnosis, or treatment.
  • Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition, therapy, supplement, or product.
  • Never disregard professional medical advice or delay in seeking it because of something you have read on Stackwise.
  • Stackwise does not fall under HIPAA regulations and should not be used to store or transmit protected health information (PHI). You should not submit protected health information (PHI) to Stackwise.

11. User Responsibilities

  • You are solely responsible for your use of the Services and any decisions you make based on information provided by Stackwise.
  • You agree not to use Stackwise to diagnose, treat, cure, or prevent any disease or health condition.
  • You understand that any health information you provide to Stackwise is not protected by HIPAA or similar regulations. You are responsible for the information you choose to upload, share, or store, and should avoid submitting information you consider highly sensitive.
  • You agree to use Stackwise at your own risk and under your sole responsibility.

12. User-Provided Health Information

  • Users may choose to provide information about their health, goals, or conditions to Stackwise at their own discretion.
  • Stackwise is not a healthcare provider or business associate as defined by HIPAA, and information you provide is not protected by HIPAA.

13. Third-Party Content and Copyright

  • Stackwise may display images or other content sourced from third-party websites (such as product images from Amazon or Google) or uploaded by users. All such content is used for informational, educational, or illustrative purposes only.
  • Stackwise does not claim ownership of third-party images or content, and all trademarks, logos, and images are the property of their respective owners.
  • If you are a copyright owner and believe that your rights have been infringed by content on Stackwise, please contact us at support@stackwise.me and we will promptly address your concerns.
  • By uploading content (including images, product photos, or labels), you represent that you have the necessary rights to do so and grant Stackwise a non-exclusive, royalty-free license to use, display, and share this content.
  • Stackwise strives to respect intellectual property rights and will remove or modify content as required by law.

14. Contributor Content and Intellectual Property

  • By contributing content (including data, images, or other materials), you grant Stackwise a non-exclusive, royalty-free, worldwide license to use, display, modify, and share your contributions. You represent that you have the necessary rights to contribute such content. Stackwise and its licensors retain all rights to the platform, software, and content not provided by users.

15. Access to External Resources

  • Stackwise may provide links to external resources, such as scientific studies or third-party websites. Stackwise is not responsible for the content, accuracy, or availability of these resources, and users access them at their own risk.

16. Risk Levels and Opinions

  • Stackwise may provide a "Risk" level or similar rating for products, ingredients, or therapies. These ratings are based on available information, public research, and the subjective judgment of Stackwise and its contributors.
  • Risk levels are intended solely to help users make more informed decisions and do not constitute a statement of fact, guarantee, or assertion about the safety, efficacy, or quality of any product, ingredient, or company.
  • These ratings are opinions and are not intended to slander, defame, or harm the reputation of any company, product, or ingredient.
  • Users are encouraged to conduct their own research and consult qualified professionals before making health-related decisions.

17. Recommendations and Rankings

  • Stackwise may suggest alternative products, ingredients, or therapies based on similarity, shared ingredients, or other objective criteria to help users discover comparable options.
  • Recommendations and rankings are selected in a neutral and impartial manner. No brand, manufacturer, or third party pays or influences Stackwise to appear in recommendations or rankings.
  • The selection algorithm for alternatives and rankings may consider factors such as:
    1. Product, ingredient, or therapy category, to recommend options as close as possible to the original item.
    2. Availability, to recommend options that can be found easily.
    3. Rating or risk level, to recommend options with higher ratings or lower risk levels.
    4. Diversity, to avoid excessive presence of the same brand or source and promote a broad representation.
  • Recommendations and rankings are provided for informational purposes only and do not constitute endorsements or guarantees of quality, safety, or efficacy.

18. Premium Features and Payment

19. Limitation of Liability

  • The Publisher does not guarantee the accuracy, relevance, or completeness of the data displayed on the App, which is provided "as is."
  • The App provides Users with data of an indicative and general nature, which enables the consumer to be more aware of the composition and potential effects of products and therapies, but does not guarantee better health outcomes.
  • The Publisher is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Services.
  • Stackwise is provided "as is" and "as available." Stackwise does not guarantee the accuracy, completeness, or reliability of any content. Stackwise is not liable for any damages arising from use or inability to use the platform, including data loss, service interruptions, or technical issues.

21. Modifications to the Terms

  • The Publisher reserves the right to modify these Terms at any time, without prior notice. Users are encouraged to regularly consult the Terms on the website, which indicate the last update date. Changes will take effect 14 days after being posted online. If you continue to use the Services after this date, you accept the modified Terms. If you do not wish to accept these changes, you must stop using the Services. You may contact the Publisher for any request concerning a previous version of the Terms.

22. Dispute Resolution and Governing Law

  • For any problem or dispute that you may have with Stackwise, you agree to first give Stackwise an opportunity to resolve your problem or dispute. This includes first sending a written statement to Stackwise that sets forth your name, address, and contact information, the facts giving rise to the dispute, and a proposed solution (such statement, a "Notice of Dispute"). You must send any Notice of Dispute by email to support@stackwise.me or by first class U.S. mail, return receipt requested to Innerview Insights Company, 221 W 9th St, Ste 793, Wilmington, DE 19801, Attn: Notice of Dispute. You then agree to negotiate with Stackwise in good faith about your problem or dispute. If your problem or dispute is not resolved satisfactorily within sixty (60) days after Stackwise's receipt of your Notice of Dispute, you agree to the further dispute resolution provisions below.

Binding Arbitration

If you and Stackwise do not resolve any dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by binding arbitration as described in this section. You are giving up the right to litigate (or participate in as a party or class member) all disputes in court before a judge or jury. Instead, all disputes will be resolved before a neutral arbitrator, whose decision will be final except for a limited right of appeal under the Federal Arbitration Act. Any court with jurisdiction over the parties may enforce the arbitrator's award.

IF APPLICABLE LAW DOES NOT ALLOW BINDING ARBITRATION TO APPLY TO YOU, THE ABOVE PROVISION WILL APPLY TO YOU TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Class-Action Waiver

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor Stackwise will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

IF APPLICABLE LAW DOES NOT ALLOW A WAIVER OF CLASS ACTION PROCEEDINGS TO APPLY TO YOU, THE ABOVE PROVISION WILL APPLY TO YOU TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Arbitration Procedures

Any arbitration will be conducted by the American Arbitration Association (the "AAA") under its Commercial Arbitration Rules. You agree to commence arbitration only in the State of Delaware. You may request a telephonic or in-person hearing by following the AAA rules. In a dispute involving $10,000 or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. The arbitrator may award the same damages to you individually as a court could. The arbitrator may award declaratory or injunctive relief only to you individually, and only to the extent required to satisfy your individual claim.

Claim Limitation

To the extent permitted by law, any claim or dispute under this agreement must be filed within one year in small claims court, or in an arbitration proceeding. The one-year period begins when the claim or Notice of Dispute first could be filed. If a claim or dispute is not filed within one year, it is permanently barred.

Right to Opt Out

IF YOU DO NOT WISH TO BE BOUND BY THIS ARBITRATION PROVISION, YOU MUST NOTIFY STACKWISE IN WRITING WITHIN 30 DAYS OF THE DATE THAT YOU FIRST RECEIVE THIS AGREEMENT BY EMAIL TO support@stackwise.me OR BY FIRST CLASS U.S. MAIL, RETURN RECEIPT REQUESTED TO INNERVIEW INSIGHTS COMPANY, 221 W 9TH ST, STE 793, WILMINGTON, DE 19801 ATTN: ARBITRATION. YOUR WRITTEN NOTIFICATION TO STACKWISE MUST INCLUDE YOUR NAME AND ADDRESS AS WELL AS A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH STACKWISE THROUGH ARBITRATION. YOUR DECISION TO OPT OUT OF THIS ARBITRATION PROVISION WILL HAVE NO ADVERSE EFFECT ON YOUR RELATIONSHIP WITH STACKWISE OR THE DELIVERY OF ANY SERVICE(S) TO YOU BY STACKWISE. IF YOU HAVE PREVIOUSLY NOTIFIED STACKWISE OF YOUR DECISION TO OPT OUT OF ARBITRATION, YOU DO NOT NEED TO DO SO AGAIN.

This Section survives expiration or termination of these Terms for any reason.

THESE TERMS AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF DELAWARE WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Terms and/or in connection with the entering of any judgment on an arbitration award in connection with these Terms, you irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or New Castle County, Delaware. You agree not to raise the defense of forum non conveniens.

23. Severability and Waiver

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of Stackwise to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • The User acknowledges that Stackwise's tolerance of a situation does not confer any rights on the User. Stackwise's failure to assert any right or provision shall not be construed as a waiver of these rights or provisions.

25. Beta Features and Experimental Tools

  • Stackwise may, from time to time, offer beta or experimental features. Such features are provided "as is," may be changed or removed at any time, and may not be as reliable or available as core features. Your use of beta features is at your own risk.

26. Third-Party Services and Integrations

  • Stackwise may integrate with or link to third-party services, including but not limited to product data providers, authentication, and analytics. Stackwise is not responsible for the content, accuracy, or availability of these third-party services. Your use of such services is subject to their own terms and policies.

27. Indemnification

  • You agree to indemnify, defend, and hold harmless Innerview Insights Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

28. Children's Privacy

  • Stackwise is not intended for use by children under the age of 13, and we do not knowingly collect personal information from children under 13. If you are under 13, do not use or provide any information on Stackwise. If we learn we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information.

29. Force Majeure

  • The Publisher shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond the Publisher's reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

30. Assignment

  • The Publisher may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Publisher.

31. Entire Agreement

  • These Terms constitute the entire agreement between you and Innerview Insights Company regarding your use of Stackwise and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning its subject matter.

32. Electronic Communications Consent

  • By using Stackwise, you consent to receive communications from us electronically, including emails, in-app messages, and notices posted on the website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

33. Survival

  • The provisions of these Terms which by their nature should survive termination or expiration of your relationship with Stackwise, including but not limited to Indemnification, Limitation of Liability, Dispute Resolution and Governing Law, Intellectual Property, and any other provisions which by their nature are intended to survive, shall so survive.
